Vikerz (operating under "Global Sporting Enterprise")

Introduction
1.1. These general Terms of Sale (hereinafter referred to as “Terms of Sale”) apply exclusively between GLOBAL SPORTING ENTERPRISE, a business registered in the Republic of Singapore under Business Registration Number 53005848X, having its registered office at 30 Defu Lane 10 #03-110 Singapore 539211 (hereinafter referred to as “Vikerz” or “We”), and any person placing an order on Vikerz’s website (hereinafter referred to as the “ Customer” or “ You” and collectively with Vikerz and the partners of Vikerz, the “ Parties”). The Partners of Vikerz are known as “Partners”.
1.2. These Terms of Sale govern the sale and delivery of any Vikerz product and Partner’s product (collectively referred to as “Product”) purchased by Customer on Vikerz's website www.vikerz.com or our mobile application(s) (collectively referred to as “Website”) and by placing a purchase order on the Website, You agree to be bound by them.
1.3. These Terms of Sale may be amended, modified or updated from time to time by Vikerz. Accordingly, the Parties agree that their relationship will be governed by the Terms of Sale applicable and available on www.vikerz.com on the day you place an Order on the Website.
Orders, Prices and Payment
A Customer who wishes to purchase Products online shall place an order through the Website (“Order”). By placing an Order, You are acknowledging that:

You are over 18 years of age and have the legal capacity to form a binding contract,

You are an end user (not a reseller);

All information provided to Vikerz and the Partner in connection with such Order is true and accurate and,
-
You are authorised to use the payment method You will opt for such Order.
2.1. How to place an Order on Vikerz Website? Prior to submitting an Order on Website, You need to create a Vikerz Member Account or, to log in by indicating your email and password if You are already a Vikerz Member. Then, You will complete few steps to place your Order on the Website:

Add your chosen items to your “Cart”;

Select a delivery method;
-
Select a method of payment;
-
Proceed to payment.
The Order process allows you to check and amend any errors before submitting your Order to Vikerz or Partner. Kindly please take time to read and check your Order at each page of the Order process.
Following the successful payment, You will receive an email confirming your Order with the following information:

Details of the items purchased on the Website;
-
Selected method of delivery;
-
Receipt of your purchase online.
The Order Confirmation e-mail means that Vikerz or Partner has accepted your Order, which will then form the sales contract between the Parties. Prior to such acceptance, Vikerz or Partner reserves the right to cancel your Order for any reason whatsoever, including but not limited to Vikerz or Partner having reasonable grounds to believe that the conditions to place an order- as above described – are not fulfilled, unavailability of the Product(s) or limitation of the quantity of Products ordered. Processing of payment for an Order does not itself constitute acceptance of the Order by Vikerz or Partner, provided that where an Order is rejected or cancelled by Vikerz, any payment made for such Order will be refunded by Vikerz or Partner based on the mode of payment used for the Order placement, inclusive of delivery charges (if applicable).
As soon as your Order is ready to be delivered, Vikerz or Partner will send an email confirming that your Order has been shipped and is on the way to the place of delivery you mentioned.
2.2. Our Prices
2.2.1. Product prices are displayed in the Website in Singapore Dollars (SGD).
2.2.2. Prices of Products displayed on the Website exclude delivery costs which may be added to the amount of your Order; as such delivery costs may vary, depending on the amount of your Order, the delivery destination and the delivery method chosen. Any additional charges for delivery will be included in the summary of your Order shown on-screen at the check-out page, before the Order is finally confirmed by the Customer.
2.2.3. Product prices are subject to change at any time and without notice, but You will always be charged the price which is displayed on the Website at the time you confirm your Order. Product selection, prices and/or promotions offered on the Website may vary at any time from what is available or offered.
2.3. Methods of Payment
2.3.1. You shall pay the price of the Product(s) in full upon submitting your Order. Payment for Orders may be made by (i) VISA (Credit or Debit Card) (ii) MASTERCARD (iii) AMERICAN EXPRESS CARD. Vikerz or Partner reserves the right to change the payment options at any time for any reason.
2.3.2. All credit/debit card transactions made on the Website are secured using the Secure Socket Layer (SSL) technology and payments are processed by Stripe and or Paypal.
2.3.3. By proceeding to a payment, You undertake to use your own card or account and that there are sufficient funds or credit facilities to cover the cost of your Order. Vikerz or Partner reserves the right to reject an Order in the event of an ongoing payment dispute or if a Customer has ordered an unusually high number of Products.
2.3.4. You should be aware that online payment transactions are subject to validation checks by your card issuer and we are not responsible if your card issuer declines to authorise payment for any reason. Please note that it is possible that your card issuer may charge you an online handling fee or processing fee to perform the payment of Products purchased online. Vikerz or Partner are not responsible for this.
2.3.5. If You are a Customer whose credit or debit card is not denominated in Singapore Dollars (SGD), the final price may vary, depending on the exchange rate applied by your card issuer or issuing bank. For the avoidance of doubt, Vikerz or Partner shall under no circumstances be responsible for any foreign transaction fees charged by your issuing bank if you are using an international credit/debit card.
2.3.6. The Website contains a large number of Products. It is always possible that despite Vikerz or Partner’s reasonable efforts, some of the Products on the Website may be incorrectly priced. If Vikerz or Partner discovers an error in the price of any Product you have ordered, Vikerz or Partner will inform you of this error and will give You the option of continuing to purchase the Product at the correct price or cancelling your Order. Vikerz or Partner will not dispatch your Order until your instructions have been obtained. If Vikerz or Partner is unable to contact You using the contact details you have provided, Vikerz or Partner will treat the Order as cancelled and notify You in writing. If the Order is cancelled, Vikerz or Partner will refund you based on your initial mode of payment for the Order of the Products, inclusive of delivery charges (if applicable). For the avoidance of doubt, if the pricing error is obvious and unmistakeable and could have reasonably been recognised by You as a mispricing, Vikerz or Partner does not have to provide the Product at the incorrect (lower) price.
2.4. Proof of Orders and payment
In the absence of proof to the contrary, our electronic databases and those of our service providers that are kept under adequate security conditions will constitute proof of all transactions entered into between Vikerz or Partner and You. In accordance with applicable regulations, Vikerz or Partner store orders in a reliable medium. You may access the orders you place on www.vikerz.com by going to “My Account”. In all cases, Vikerz or Partner advises Customers to retain their Order Confirmation e-mails.
2.5. Transfer of title and risk
Title to and risk of accidental loss of the Products purchased passes to the Customer upon issue of the Shipment Confirmation e-mail.
Delivery
3.1. The Products offered on Vikerz Website are intended to be sold to end consumers residing in Singapore.
3.2. The delivery options are specified during the process of your Order.
3.3. The Products shall be packaged in accordance with Vikerz or the Partner’s standard packing procedures. Vikerz or the Partner reserves the right to accommodate any specific packing instructions and in such cases, any additional charges which may apply shall be paid by the Customer before the Products are shipped.
3.4. The delivery time given on the Website and in the “Order Confirmation” email You received begins on the date you place an Order. Vikerz or Partner may contact You if an estimated delivery date cannot be met by the carrier but Vikerz or Partner shall in no circumstances be liable for any losses, liabilities, costs, damages, charges or expenses arising out of late delivery.
3.5. Vikerz or Partner will deliver your Products to the delivery address provided in your Order. On delivery, You may be required to sign for delivery and if no-one is available to take delivery of your Products, the appointed carrier may either send you a notification and/or leave a card giving you instructions on either re-delivery or collection from the carrier, or may leave the parcel at your doorstep as communicated or instructed by You and the appointed carrier.
3.6. Vikerz or Partner strongly advises You to check the apparent condition of items ordered at delivery time. In the event of a problem (damaged packaging or missing, damaged or broken items), You shall describe the condition of the parcel being refused in detail on the delivery note and have the carrier countersign the delivery note. You are therefore strongly advised to open your parcel in the presence of the carrier to check that no item has been damaged during its transportation.
3.7 Delay
Whilst we aim to deliver your products within our standard delivery times, You acknowledge that delivery of the Products is subject to the availability of our Products. Vikerz or Partner will make every reasonable effort to deliver the Product to you within the delivery time frame stated on your invoice, but you acknowledge that while we do our best to update our stock availability on a regular basis, it is possible that a Product may become unavailable between updates.
All delivery timeframes given are estimates only and delays can occur. If the delivery of your Product is delayed and an item ordered is not available, Vikerz or Partner reserves the right to cancel/amend/refund the Order, in which case, You will be notified accordingly.
Vikerz's Products
4.1. The pictures of the Products on the Website are for illustrative purposes only. Although Vikerz or Partner has made every effort to display the colours accurately, Vikerz or Partner cannot guarantee that your computer's display of the colours accurately reflect the colour of the Products. Products purchased may vary slightly from those pictures.
4.2. Vikerz or Partner has made every effort to ensure that (i) all information published on the Website in relation to the Products are accurate, (ii) the Website is updated regularly and (iii) errors are corrected within a reasonable time of discovery. Vikerz or Partner reserves the right to make changes to the Website at any time including the Product prices, specifications, descriptions, offers and availability.
4.3. If an item ordered is not available, Vikerz or Partner reserves the right to refund the order, in which you will be notified accordingly via the email address provided during checkout. If you have placed an order for several products, of which one or more is unavailable, our Customer Service Centre will notify you accordingly. The rest of your order might be delivered within the timeframe indicated on our website.
You may also choose to postpone the delivery or to cancel your entire order depending of the status of your order. Contact us to check the status of your order. Please be notified that our Customer Service Centre may also suggest replacing the unavailable item with a product of similar price and/or quality to your prior selection.

Liability
6.1. Nothing in these Terms of Sale shall limit or exclude Vikerz or Partner liability to the Customer:
-
for death or personal injury caused by our negligence;
-
for fraudulent misrepresentation;

for breach of any statutorily-implied term as to ownership of the Products; or,
-
for any other liability that may not, under the laws of Singapore, be limited or excluded.
Except for the foregoing issues, in the event that Vikerz or Partner is liable for any damages or losses You suffer and arising from any and all causes of action or negligence in relation to any Order, sale or delivery of any Product by Vikerz or Partner under these Terms of Sale, Vikerz’s aggregate liability shall not exceed the purchase price of the relevant Product(s) and is strictly limited to losses that were reasonably foreseeable. Losses are foreseeable where they could be contemplated by You and Vikerz or Partner at the time your Order is accepted by us.
6.2. Subject to this, in no event shall Vikerz or Partner be liable:
-
for any loss of profit, loss of business, data loss, depletion of goodwill or any other indirect, special or consequential loss;

for any failure to perform, or delay in performance of, any of our obligations related to the order, sale or delivery of Product(s) purchased in the Website that is caused by events outside our reasonable control, or in case of Force Majeure.
Force Majeure
7.1. A “Force Majeure Event” means any cause which is not reasonably foreseeable and is beyond the reasonable control and not due to the fault or negligence of the Party affected (including its subcontractors, if any) and which could not have been avoided by due diligence and the use of reasonable efforts. A Force Majeure Event includes, without limitation, Acts of God, drought, flood, earthquakes, storm, fire, lightning, epidemic, war, riot, civil disturbance, sabotage, explosions, strikes, or labour disputes (excluding any strikes, labour disputes or other labour difficulties in which the employees of the affected Party (or its subcontractors, if any), are involved) and changes in law. A Force Majeure Event includes the failure of a subcontractor to furnish labour, services, materials or equipment in accordance with its contractual obligations only if such failure is itself due to a Force Majeure Event.
7.2. Vikerz or Partner shall not be liable for failure or delay in performing any of its obligations under these Terms of Sale to the extent that the failure or delay is due to a Force Majeure Event PROVIDED ALWAYS THAT:
- as soon as reasonably practicable upon knowing that it will not be able to fulfil its obligations, it notifies the Customer; and
- no obligations of Vikerz or Partner which arose before the occurrence of the Force Majeure Event causing the suspension of performance are excused as a result of the occurrence.
7.3. Where the Force Majeure Event affects Vikerz or Partner’s delivery of Products to the Customer, Vikerz or Partner will arrange a new delivery date with the Customer after the Force Majeure Event is over.
General Legal Provisions
8.1. Remedies and Waivers
No failure on the part of Vikerz or Partner to exercise, and no delay on its part in exercising, any right or remedy under these Terms of Sale will operate as a waiver thereof, nor will any single or partial exercise of any right or remedy preclude any other or further exercise thereof or the exercise of any other right or remedy. The rights provided in under these Terms of Sale are cumulative and not exclusive of any rights or remedies provided by law. If Vikerz or Partner does waive a default by the Customer, it will only do so in writing.
8.2.Illegality
The illegality, invalidity or unenforceability of any provision of these Terms of Sale under the law of any jurisdiction shall not affect its legality, validity or enforceability under the law of any other jurisdiction nor the legality, validity or enforceability of any other provision.
8.3.No Rights of Third Parties
A person who is not a party to these Terms of Sale has no rights under the Contracts (Rights of Third Parties) Act, Chapter 53B of Singapore, to enforce any term of these Terms of Sale, but this does not affect any right or remedy of a third party which exists or is available apart from the said Act.
Governing Law
These General Terms of Sale shall be governed by and construed in accordance with the law of the Republic of Singapore and the courts of the Republic of Singapore shall have exclusive jurisdiction.
